Terms of Sale

Important : This document is legally structured and compliant with French Labor Code, Commercial Code and GDPR. It must be formally validated by a licensed attorney before production use.

Article 1 – Purpose

These Terms of Sale (hereinafter "ToS") govern the contractual relations between Portage AI SAS (hereinafter "the Umbrella Company") and umbrella employees (hereinafter "the Consultant") using umbrella employment services offered via the platform www.portagesalarial.ai.

Article 2 – Legal framework

Portage AI carries out its umbrella employment activity in accordance with:

  • Articles L. 1254-1 and following of the French Labor Code
  • The umbrella employment collective agreement (IDCC 3219)
  • Current social and tax regulations
  • Financial guarantee obligations (article L. 1254-26 of the Labor Code)

Article 4 – Management fees

Management fees are expressed as a percentage of collected revenue excluding VAT.

4.2 Platform subscription

Access to advanced features is subject to a monthly subscription of €5 incl. VAT, automatically debited.

Article 5 – Invoicing and collection

5.1 Principle

The Umbrella Company invoices the Consultant's services to the End Client. Payment is collected by the Umbrella Company.

5.2 Payment terms

Payment terms are those negotiated with the End Client, within the legal limit of 60 net days (or 45 days end of month).

Article 6 – Salary payment

6.1 Frequency

Salary is paid monthly, no later than the 5th of the following month, subject to collection of corresponding invoices.

6.2 Salary calculation

Gross salary is calculated after deduction of management fees and mandatory provisions. Social contributions (employer and employee) are then deducted to obtain net salary.

Article 7 – Obligations of the parties

7.1 Obligations of the Umbrella Company

  • Establish employment contracts compliant with regulations
  • Manage all social and tax declarations
  • Pay salaries within agreed deadlines
  • Provide payslips and administrative documents
  • Maintain a financial guarantee compliant with the law

7.2 Obligations of the Consultant

  • Prospect and negotiate their own assignments
  • Provide information necessary for invoicing
  • Comply with legal and contractual obligations
  • Inform the Umbrella Company of any change in situation

Article 9 – Professional expenses

Professional expenses incurred by the Consultant in the course of their assignments may be reimbursed upon receipt, up to 30% of monthly gross salary.

Expenses must be real, justified and directly related to professional activity.

Article 11 – Termination

The employment contract may be terminated under the conditions provided by the Labor Code and the umbrella employment collective agreement.

In case of termination, the Consultant receives the legal and contractual compensation to which they are entitled.
